Acceptance of Terms

By accessing and using Breakout Startup Talent (the “Service”), you accept and agree to be bound by the terms and provisions of this Agreement. If you do not agree to these Terms of Service, you may not access or use the Service.

Description of Service

Our platform provides job matching services that connect job seekers with potential employers. The Service includes features such as profile creation, resume upload, video interview responses, and communication with employers.

User Accounts

Account Creation

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account
• You may only create one account and must be at least 18 years old to use the Service

Account Responsibilities

• You are solely responsible for all activity that occurs under your account
• You agree to keep your profile information accurate and up to date
• You must not share your account with others or allow others to use your account

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Provide false, misleading, or inaccurate information
• Upload content that is offensive, defamatory, or violates any laws
• Attempt to gain unauthorized access to the Service or other users’ accounts
• Use the Service to spam, harass, or abuse other users
• Reverse engineer, modify, or create derivative works of the Service
• Use automated tools to access or interact with the Service without permission
• Violate any applicable local, state, national, or international laws

User Content

Content Ownership

You retain ownership of all content you submit to the Service, including your resume, profile information, and video responses (“User Content”). However, by submitting User Content, you grant us:

• A non-exclusive, worldwide, royalty-free license to use, display, and share your User Content with potential employers
• The right to process and analyze your User Content to improve our matching algorithms
• Permission to use your User Content in aggregated, anonymized form for research and service improvement

Content Standards

All User Content must:

• Be truthful and accurate
• Not infringe on any third-party rights
• Not contain malicious code or harmful content
• Comply with all applicable laws and regulations

Employment Relationships

We facilitate connections between job seekers and employers but are not a party to any employment relationship that may result from use of the Service:

• We do not guarantee job placement or employment opportunities
• All employment negotiations and decisions are between you and the employer
• We are not responsible for the conduct of employers or the accuracy of job postings
• You acknowledge that employment outcomes depend on many factors beyond our control

Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

Termination

Termination by You

You may terminate your account at any time by contacting us or using account deletion features in the Service.

Termination by Us

We may terminate or suspend your access to the Service at any time, without notice, for:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Abuse of the Service or other users
• Any other reason at our sole discretion

Effect of Termination

Upon termination, your right to use the Service will cease immediately, and we may delete your account and User Content.

Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, or expenses (including attorney’s fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the “Last Updated” date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of Wisconsin, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will first attempt resolution through good faith negotiation, then if needed, resolved in Dane County, Wisconsin.

Compliance with Law; Equal Opportunity Statement

Both Parties will comply with all applicable employment laws and do not discriminate based on any protected characteristics including race, religion, gender, age, national origin, or disability status.

Severability

If any provision is unenforceable, the rest of the Agreement remains valid.

Entire Agreement

This Agreement is the complete agreement between Parties and replaces any prior agreements. Changes must be in writing and signed by both parties.
